Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and MoriPath Club ("Company," "we," "us," or "our") governing your access to and use of our website, mobile applications, services, and any related content or features (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
Eligibility and Account Registration
You must be at least 18 years of age to register for a membership and book guided hiking activities independently. Minors under 18 may participate in our services only with explicit parental or legal guardian consent and must be accompanied by an adult during all hiking activities.
When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
You may not transfer your account to another person or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
Membership Plans and Subscriptions
MoriPath Club offers multiple membership tiers with varying benefits, features, and pricing structures. Detailed information about each tier is available on our website and is subject to change with notice.
Monthly memberships automatically renew on the same day each month unless you cancel before the renewal date. You will be charged the membership fee using your designated payment method. We will notify you of upcoming renewals and any price changes at least 30 days in advance.
Annual memberships are billed once per year and offer discounted rates compared to monthly plans. Annual memberships do not automatically renew unless you explicitly opt in to automatic renewal.
Membership benefits are personal and non-transferable. You may not share your membership benefits with non-members or allow others to use your account to access Services.
Booking and Cancellation Policies
All guided hike bookings are subject to availability and must be made through our official booking system. Confirmation is not guaranteed until you receive a booking confirmation email.
Cancellation by Members: You may cancel a booked hike up to 72 hours before the scheduled departure time for a full refund. Cancellations made between 48-72 hours before departure will receive a 50% refund. Cancellations made less than 48 hours before departure are non-refundable, except in cases of documented medical emergencies or circumstances beyond your control.
Cancellation by MoriPath Club: We reserve the right to cancel any hike due to weather conditions, safety concerns, insufficient participants, or other factors beyond our control. In such cases, you will receive a full refund or the option to reschedule to an alternative date at no additional cost.
No-Shows: If you fail to appear for a scheduled hike without prior cancellation, your booking fee is forfeited and may result in account restrictions for repeated violations.
Payment Terms and Billing
All fees are quoted in Japanese Yen (¥) unless otherwise specified. Payment is due at the time of booking or membership registration. We accept major credit cards, debit cards, and other payment methods as indicated on our website.
You authorize us to charge your designated payment method for all fees incurred. If payment cannot be processed, we may suspend your access to Services until payment is received.
All fees are non-refundable except as expressly stated in these Terms or required by applicable law. Membership fees are not prorated for partial months or periods of non-use.
We reserve the right to change our pricing with 30 days' notice to existing members. Price changes will not affect your current billing cycle but will apply to subsequent renewals.
Participant Responsibilities and Conduct
As a participant in our hiking activities, you agree to:
Physical Fitness: Accurately represent your fitness level, health conditions, and hiking experience. You are responsible for ensuring you are physically capable of completing the hikes you book.
Medical Disclosure: Inform us of any medical conditions, allergies, medications, or physical limitations that may affect your ability to participate safely. Failure to disclose relevant medical information may result in removal from an activity without refund.
Safety Compliance: Follow all instructions from guides, adhere to safety protocols, use provided safety equipment properly, and not engage in reckless behavior that endangers yourself or others.
Environmental Responsibility: Practice Leave No Trace principles, respect wildlife and natural habitats, stay on designated trails, and properly dispose of waste.
Respectful Behavior: Treat guides, staff, and fellow participants with respect. Harassment, discrimination, offensive behavior, or illegal activity will result in immediate removal and account termination.
Equipment and Preparation: Bring appropriate clothing, footwear, and personal items as specified in pre-hike communications. Arrive at designated meeting points on time with required items.
Assumption of Risk and Liability Waiver
Hiking and outdoor activities involve inherent risks, including but not limited to: physical injury, illness, property damage, severe weather, wildlife encounters, difficult terrain, altitude sickness, and in rare cases, death.
By participating in our Services, you acknowledge and assume all risks associated with hiking activities. You agree that participation is entirely voluntary and at your own risk.
To the maximum extent permitted by law, you release, waive, discharge, and covenant not to sue MoriPath Club, its officers, employees, guides, contractors, and affiliates from any and all liability for injury, death, property loss, or any other damages arising from your participation in hiking activities, even if caused by negligence.
This waiver does not apply to liability that cannot be excluded by law, including gross negligence or willful misconduct.
Insurance and Medical Treatment
Certain membership tiers include basic accident insurance coverage during guided hikes. Coverage details, limitations, and exclusions are provided in your membership documentation.
You are strongly encouraged to maintain personal health insurance. Basic accident insurance does not replace comprehensive health or travel insurance.
In the event of injury or medical emergency, you authorize MoriPath Club and its guides to arrange for medical treatment and transportation. You are responsible for all medical expenses incurred, which may be submitted to your insurance provider for reimbursement.
Intellectual Property Rights
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, photographs, trail maps, software, and design elements, are owned by MoriPath Club or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from our Services without express written permission.
You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display any content you submit to our Services, including reviews, photos, and forum posts, for promotional and operational purposes.
User-Generated Content and Community Guidelines
Our Services may include features allowing you to post reviews, share photos, participate in forums, and interact with other members. You are solely responsible for content you submit.
You agree not to post content that is: illegal, threatening, defamatory, obscene, pornographic, hateful, discriminatory, infringing on intellectual property rights, spam, or false or misleading.
We reserve the right to remove any user-generated content that violates these Terms or is otherwise objectionable, without notice. We are not responsible for monitoring or controlling user-generated content but may do so at our discretion.
Privacy and Data Protection
Your use of our Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.
We implement reasonable security measures to protect your information, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account information.
Modification of Services
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may add or remove features, change membership benefits, or alter pricing structures.
We will make reasonable efforts to notify you of material changes affecting your membership, but we are not liable for any modifications to the Services.
Termination and Suspension
You may cancel your membership at any time through your account settings or by contacting customer support. Cancellation will be effective at the end of your current billing cycle, and you will retain access to membership benefits until that date.
We may suspend or terminate your account immediately if you: violate these Terms, engage in fraudulent activity, pose a safety risk to others, provide false information, or for any other legitimate business reason.
Upon termination, your right to access and use the Services immediately ceases. Provisions of these Terms that by their nature should survive termination will remain in effect.
Limitation of Liability
To the maximum extent permitted by law, MoriPath Club, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use our Services.
Our total liability for any claim arising from these Terms or your use of Services shall not exceed the amount you paid to us in the twelve months preceding the claim.
Some jurisdictions do not allow limitations on implied warranties or limitations of liability, so the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless MoriPath Club and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from: your violation of these Terms, your use of Services, your violation of any rights of third parties, or your negligence or misconduct.
Dispute Resolution and Arbitration
Any dispute arising from these Terms or your use of Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association.
Arbitration shall be conducted in Tokyo, Japan, in the English or Japanese language. The arbitrator's decision shall be final and binding.
You agree to waive your right to participate in class actions or class arbitrations. Each party may bring claims against the other only in an individual capacity.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.
Any legal action or proceeding that is not subject to arbitration shall be brought exclusively in the courts located in Tokyo, Japan, and you consent to personal jurisdiction in those courts.
Changes to These Terms
We may revise these Terms at any time by posting updated Terms on our website. Material changes will be notified to you via email or prominent notice on our website at least 30 days before they take effect.
Your continued use of Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to changes, you must discontinue use of our Services.
